TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS
These Terms of Use (“Terms”) govern your access to and use of kinetichub.net and the websites, CRM systems, lead-capture tools, automations, artificial intelligence features, search optimization services, mobile applications, subscriptions, consulting, support, and related services offered by KineticHub LLC (“KineticHub,” “we,” “us,” or “our”), collectively referred to as the “Services.”
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. ELIGIBILITY AND AUTHORITY
You must be at least 18 years old and legally able to enter into a binding agreement.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. SERVICES AND SEPARATE AGREEMENTS
The specific scope, pricing, setup fees, subscription charges, deliverables, timelines, usage allowances, and support terms for a purchase may be stated on an order page, proposal, service agreement, statement of work, or checkout page.
Those additional terms are incorporated into these Terms. If there is a conflict, a signed service agreement or statement of work will control for that engagement.
We may update, improve, suspend, or discontinue features when reasonably necessary. We do not guarantee that every feature or integration will remain available at all times.
4. ACCOUNTS AND CUSTOMER RESPONSIBILITIES
ou are responsible for:
• Providing complete and accurate information.
• Maintaining the confidentiality of your login credentials.
• Restricting unauthorized access to your account.
• Promptly notifying us of suspected unauthorized access.
• Ensuring that the content, contacts, data, offers, and communications you place into or send through the Services comply with applicable laws, platform rules, carrier requirements, and messaging regulations.
5. FEES, BILLING, AND CANCELLATIONS
You agree to pay all fees presented at checkout or stated in an applicable agreement.
Recurring subscriptions continue on a month-to-month basis unless a different term is stated in writing. You authorize applicable recurring charges until your cancellation becomes effective.
Cancellation stops future recurring charges but does not automatically provide a refund for setup work, completed services, usage charges, or amounts already paid.
Any right to a refund must be stated in the applicable order, service agreement, or written refund policy.
6. ACCEPTABLE USE
You may not use the Services to:
• Violate any applicable law or regulation.
• Infringe intellectual property, privacy, publicity, or contractual rights.
• Transmit malware or harmful computer code.
• Attempt unauthorized access to accounts, networks, or systems.
• Interfere with the operation or security of the Services.
• Misrepresent your identity or affiliation.
• Send spam, deceptive messages, or unlawful communications.
• Collect information without proper authorization.
• Send messages to individuals without the required consent.
• Use content or messaging categories prohibited by carriers, service providers, or platform rules.
We may suspend or terminate access when reasonably necessary to protect customers, providers, KineticHub, or the public.
7. CUSTOMER CONTENT AND PERMISSIONS
You retain ownership of the content and data you submit to the Services.
You grant KineticHub limited permission to host, copy, process, transmit, display, and modify that content only as reasonably necessary to provide, secure, support, and improve the Services or as otherwise directed by you.
You represent that you possess the rights, licenses, permissions, and legally required consent necessary for the content and data you provide.
8. INTELLECTUAL PROPERTY
Except for customer content and third-party materials, the Services and their software, designs, text, graphics, workflows, documentation, trademarks, and other materials are owned by or licensed to KineticHub and are protected by applicable law.
No rights are granted except the limited right to use the Services under these Terms and any applicable service agreement.
9. THIRD-PARTY SERVICES
The Services may connect with independent platforms, payment processors, hosting providers, telecommunications providers, artificial intelligence services, analytics providers, or other external services.
Those services may have separate terms and privacy policies. KineticHub is not responsible for an external service’s availability, changes, content, security, or independent practices.
10. SMS AND TEXT MESSAGING TERMS
10.1 Program and Message Types
KineticHub LLC may send text messages to individuals who provide a mobile number and separately opt in.
Non-marketing messages may include appointment confirmations and reminders, onboarding updates, account or service notifications, and customer-support responses.
Marketing messages may include special offers, discounts, product or service announcements, and promotional updates.
Marketing consent and non-marketing consent are collected separately.
10.2 Voluntary Consent
Consent to receive text messages is voluntary and is not a condition of purchasing any product or service.
You may choose to receive marketing messages, non-marketing messages, both categories, or neither category.
Text-messaging consent applies only to the telephone number provided and the message category selected.
10.3 Message Frequency and Charges
Message frequency may vary depending on your requests, account activity, appointments, service status, and consent selections.
Message and data rates may apply to messages sent to you from KineticHub and to messages you send to us. Contact your wireless provider with questions about your text or data plan.
10.4 Opt-Out Instructions
You may cancel the SMS service at any time by replying STOP to the KineticHub telephone number from which you received the message.
After you send STOP, we may send one final SMS confirming that you have been unsubscribed. After that confirmation, you will no longer receive SMS messages from the applicable messaging program.
If you wish to receive messages again, you must opt in through the original sign-up process.
10.5 Help and Support
If you experience problems with the messaging program, reply HELP for assistance.

10.6 Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages. Message delivery depends on your wireless carrier, device, and network availability.
10.7 Supported Carriers
The messaging program may be supported by major United States wireless carriers. Carrier participation and availability may change without notice.

11. EMAIL AND ELECTRONIC COMMUNICATIONS
You consent to receive electronic records and communications related to your account, transactions, agreements, and use of the Services.
You may discontinue marketing emails by using the unsubscribe instructions contained in the applicable message.
12. DISCLAIMERS
To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available.”
KineticHub disclaims warranties not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee uninterrupted operation, specific revenue, lead volume, search rankings, conversion results, or compatibility with every external platform.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, KineticHub will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to the Services.
KineticHub’s total liability for a claim will not exceed the amount you paid to KineticHub for the affected Service during the three months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, so some provisions may not apply to you.
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless KineticHub and its owners, officers, employees, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys’ fees, arising from:
• Your customer content.
• Your misuse of the Services.
• Communications you send through the Services.
• Your violation of these Terms.
• Your violation of applicable law or third-party rights.
15. SUSPENSION AND TERMINATION
We may suspend or terminate access for nonpayment, material breach, unlawful activity, security risks, abuse, or conduct that may harm users, providers, KineticHub, or the Services.
Provisions that by their nature should survive termination will remain effective, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions.
16. GOVERNING LAW
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
Any dispute not subject to a separate written dispute-resolution agreement will be brought in a court of competent jurisdiction in Texas. The parties consent to that jurisdiction and venue.
17. CHANGES TO THESE TERMS
We may update these Terms periodically. Revised Terms will be posted on this page with a new effective date.
Continued use of the Services after the revised Terms become effective constitutes acceptance of the updated Terms.
